1. Acceptance of Terms

By accessing or using the Tyne website (tyne.proflowtech.io), VS Code extension, paid plans, integrations, or APIs/services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Services.

2. Product Description

Tyne is the Delivery Integrity platform that verifies code against project management tasks while it is being written and writes proof back into your system of record. The Services include goal-anchored branch workflows, Criteria Verification & Code-to-Ticket Audit covering correctness, security, and acceptance criteria alignment, Evidence Ledger generation, and synchronization with supported system-of-record tools. Tyne assists engineering teams but does not replace human engineering judgment. You remain responsible for all code changes and system-of-record updates.

3. Accounts and Authentication

To use the Services, you must sign in, for example via GitHub, and you may choose to connect other integrations such as Jira/Atlassian. You are responsible for maintaining the security of your account and the permissions granted to these integrations.

4. License to Use Tyne

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business or personal use, subject to these Terms.

Restrictions: You may not reverse engineer, abuse, resell, scrape, interfere with the Service, circumvent any rate limits or billing mechanisms, or use Tyne for any unlawful purpose.

5. User Content and Repository Data

You retain all ownership rights to your code, repository content, Jira content, prompts, and generated workflow context ("User Content").

By using Tyne, you grant us a limited, worldwide license to process such User Content solely to provide, secure, support, and improve the Services, subject to our Privacy Policy. We do not claim ownership over your code.

6. AI Output

Our Services generate outputs such as review findings, task alignment assessments, commit messages, and related summaries using artificial intelligence ("AI Output").

Review Required: You must review and validate all AI Output before relying on it or committing it to your codebase. Tyne is not responsible for bad commits, incorrect PR descriptions, failed builds, broken deployments, merge conflicts, accidental disclosures, or workflow decisions resulting from unreviewed AI Output.

Due to the nature of AI, generated outputs may be similar across different users.

7. Bring Your Own Key (BYOK)

If your plan requires you to connect your own AI provider key, you are solely responsible for maintaining the key, paying associated usage charges, and complying with the AI provider's terms and privacy rules.

Tyne may stop functioning if your key is invalid, revoked, rate-limited, unpaid, or misconfigured. Tyne is not liable for third-party AI provider outages, billing issues, or policy changes.

8. Plans, Billing, and Subscriptions

Tyne may offer various subscription tiers (e.g., Starter/Free, Pro, Max). Specific features, such as advanced Jira sync or custom guardrails, depend on your plan.

Payments are processed by our configured payment processor (e.g., Dodo Payments). Subscriptions automatically renew unless canceled. All fees are exclusive of taxes unless otherwise stated.

9. Integrations

The Services integrate with third-party platforms (e.g., GitHub, Jira/Atlassian, VS Code, Supabase, AI providers). These are third-party services subject to their own terms and availability.

Tyne is not responsible for third-party downtime, API changes, permission alterations, data losses originating from those services, or user misconfiguration.

10. Security and Acceptable Use

You agree not to use the Services for any malicious activity, credential theft, exfiltration, or illegal activity. You must not attempt to bypass limits, load test without written permission, or process data you do not have the right to use.

You must not upload, share, or process secrets, private keys, or highly regulated sensitive data unless Tyne explicitly supports it under a separate written agreement.

11. Enterprise and Team Use

If you use Tyne on behalf of a company or team, administrators may configure guardrails and integrations. Users are responsible for obtaining internal approvals before connecting company repositories or Jira workspaces.

Tyne is not a system of record for legal, audit, financial, or regulatory approval unless separately agreed in writing.

12. Service Availability and Changes

We strive to maintain high availability but may occasionally suspend, change, or discontinue features of the Services for maintenance or updates. Beta or preview features are provided "as is" and may be unstable.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that the AI Outputs are accurate, that your repositories will remain error-free, or that integrations will always function seamlessly.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TYNE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).

15. Indemnity

You agree to defend, indemnify, and hold harmless Tyne from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

16. Termination

You may stop using the Services at any time. We reserve the right to suspend or terminate your account at our sole discretion, including for abuse, nonpayment, security risks, or violation of these Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts located in Goa, India shall have exclusive jurisdiction.
